1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Ship Fairy platform, website, applications, software, and related services provided by Ship Fairy Express, LLC (“Ship Fairy”, “we”, “us”, or “our”).
By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms, as well as any additional policies, guidelines, or rules referenced within the Service, including our Privacy Policy.
If you are using the Service on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to “you” or “your” will apply to both you and that entity.
If you do not agree to these Terms, you may not access or use the Service.
Ship Fairy may update or modify these Terms from time to time in order to reflect changes to the Service, applicable laws, carrier requirements, operational practices, or business needs. Continued use of the Service after updated Terms become effective may constitute acceptance of the revised Terms to the extent permitted by applicable law.
2. Eligibility & Accounts
In order to access certain features of the Service, users may be required to create an account with Ship Fairy. By creating an account or using the Service, you represent and warrant that you are legally capable of entering into a binding agreement and that you will use the Service in compliance with these Terms and all applicable laws and regulations.
If you create or use an account on behalf of a business, company, organization, or other legal entity, you represent and warrant that you are authorized to act on behalf of that entity and bind it to these Terms.
Users are responsible for maintaining the confidentiality and security of their account credentials and for all activities that occur under their account. You agree to provide accurate, current, and complete information and to keep account information updated as necessary.
Ship Fairy reserves the right to suspend, restrict, or terminate accounts, limit access to the Service, refuse transactions, or investigate activity where we believe an account may be involved in fraud, abuse, unauthorized activity, violations of these Terms, carrier policy violations, payment disputes, suspicious transactions, or activity that may expose Ship Fairy, shipping carriers, users, or third parties to risk or liability.
You are responsible for all activity conducted through your account, including activity performed by authorized users, employees, contractors, team members, or any person accessing the Service through your credentials or connected systems.
3. Description of the Service
Ship Fairy provides a shipping and logistics platform that allows users to purchase and manage shipping labels, compare carrier rates, manage shipments, access shipping-related tools and integrations, and facilitate ecommerce shipping workflows through supported carrier and third-party service providers.
The Service may include access to carrier pricing, shipment tracking tools, account management features, integrations with ecommerce platforms or third-party services, reporting tools, automation features, and other shipping-related functionality made available by Ship Fairy from time to time.
Ship Fairy is not a shipping carrier and does not directly transport, deliver, or physically handle packages. Shipping, transportation, delivery, customs processing, tracking accuracy, delivery timelines, and related logistics services are provided by third-party carriers and logistics providers subject to their own policies, operational practices, service terms, and limitations.
Certain features, integrations, carrier services, or functionality may be modified, suspended, restricted, or discontinued at any time without prior notice. Ship Fairy does not guarantee the continued availability of any specific feature, carrier relationship, shipping rate, integration, discount, or service offering.
Users are solely responsible for ensuring that shipments comply with applicable laws, carrier rules, shipping restrictions, hazardous materials regulations, customs requirements, import/export laws, and any other applicable shipping or transportation requirements.
4. Shipping Labels & Carrier Services
Ship Fairy enables users to access shipping labels and shipping-related services offered by third-party carriers and logistics providers. All shipments processed through the Service are subject to the applicable carrier’s terms, conditions, rules, service guides, restrictions, pricing policies, and operational requirements.
By purchasing or using shipping labels through Ship Fairy, you acknowledge and agree that carrier rates, delivery estimates, transit times, tracking updates, surcharges, adjustments, and shipping availability are determined by the applicable carrier and may change without notice.
Users are responsible for providing accurate shipment information, including package dimensions, weight, shipment contents, addresses, customs declarations, and any other information required to generate labels or fulfill shipments. Inaccurate or incomplete information may result in carrier adjustments, additional fees, delayed shipments, returned shipments, refused shipments, delivery failures, carrier penalties, or account restrictions.
Ship Fairy is not responsible for packages that are lost, delayed, damaged, misdelivered, seized, returned, refused, destroyed, or otherwise affected during transit or handling by third-party carriers, customs authorities, logistics providers, or government agencies.
Carrier charges, postage adjustments, address correction fees, dimensional weight adjustments, customs charges, duties, taxes, penalties, insurance claims, or other carrier-imposed fees may be charged after label purchase and may be automatically billed to the user’s payment method or account balance where permitted.
Users are solely responsible for ensuring that shipments comply with all applicable carrier rules, shipping restrictions, hazardous materials regulations, import/export requirements, sanctions laws, customs laws, and other applicable legal or regulatory requirements.
Ship Fairy reserves the right to refuse, void, suspend, restrict, investigate, or cancel shipments, labels, accounts, or transactions that may violate these Terms, carrier policies, applicable laws, payment requirements, fraud prevention measures, or operational risk standards.
5. Payments, Billing & Refunds
Users agree to pay all applicable fees, shipping charges, carrier adjustments, taxes, surcharges, subscription fees, and other amounts associated with their use of the Service.
Payments processed through Ship Fairy may be handled by third-party payment processors or financial service providers. By submitting payment information, users authorize Ship Fairy and its payment providers to charge the applicable payment method for all authorized transactions, including shipping label purchases, subscription charges, carrier adjustments, postage corrections, penalties, taxes, fees, and other authorized charges associated with the account.
Shipping rates, carrier pricing, discounts, service availability, and fees may change at any time without notice due to carrier pricing changes, operational costs, market conditions, or other factors outside of Ship Fairy’s control.
Users are responsible for ensuring that payment information remains accurate, valid, and up to date. Ship Fairy reserves the right to suspend transactions, restrict account access, delay shipment processing, or terminate accounts where payment obligations remain unpaid or where payment activity appears fraudulent, unauthorized, disputed, or otherwise high risk.
Refunds, credits, voids, or adjustments for shipping labels may be subject to carrier rules, carrier approval, processing timelines, fraud review procedures, technical limitations, or other eligibility requirements. Certain purchases, fees, adjustments, subscription charges, or completed transactions may be non-refundable unless otherwise required by applicable law.
Chargebacks, payment disputes, fraudulent transactions, abuse of refund systems, or unauthorized payment activity may result in account suspension, loss of access to the Service, recovery actions, additional fees, or permanent account termination.
6. Prohibited Use
Users may not use Ship Fairy or any part of the Service for unlawful, fraudulent, abusive, deceptive, harmful, or unauthorized purposes.
Without limiting the foregoing, users agree not to use the Service to create, purchase, transmit, ship, store, facilitate, or support shipments involving prohibited, restricted, counterfeit, dangerous, illegal, or regulated goods in violation of applicable laws, carrier rules, or shipping restrictions.
Users also agree not to:
- misuse carrier rates or shipping discounts;
- submit false, misleading, or inaccurate shipment information;
- attempt to bypass carrier rules, postage requirements, or billing systems;
- engage in fraud, chargeback abuse, or unauthorized transactions;
- interfere with or disrupt the integrity, performance, or security of the Service;
- access or attempt to access accounts, systems, or data without authorization;
- use bots, scraping tools, automation, or other methods to improperly access or extract data from the Service;
- reverse engineer, copy, modify, resell, or exploit the Service except as expressly permitted by Ship Fairy;
- use the Service in a manner that could expose Ship Fairy, carriers, payment providers, users, or third parties to legal, financial, operational, or reputational harm.
Ship Fairy reserves the right to investigate suspected violations of these Terms and may suspend, restrict, terminate, report, or take legal action against users or accounts involved in prohibited activity, suspicious conduct, fraud, payment abuse, carrier violations, or misuse of the Service.
7. Third-Party Services & Integrations
Ship Fairy may provide access to or compatibility with third-party services, platforms, software, carriers, marketplaces, payment processors, e-commerce tools, authentication providers, analytics providers, and other integrations that are not owned or controlled by Ship Fairy.
Users may choose to connect external accounts or services to the Service in order to access certain features or functionality, including e-commerce integrations, carrier accounts, payment services, automation tools, or marketplace connections. By enabling or using third-party integrations, users authorize Ship Fairy to exchange information with the applicable third-party service as reasonably necessary to facilitate the requested functionality.
Ship Fairy does not control and is not responsible for the availability, performance, security, accuracy, legality, policies, or practices of third-party services or integrations. Use of third-party services may be subject to separate agreements, terms of service, privacy policies, fees, restrictions, or operational requirements imposed by those providers.
Ship Fairy does not guarantee the continued availability, compatibility, functionality, or support of any third-party integration, carrier connection, marketplace integration, or external service. Third-party services may change, suspend, restrict, discontinue, or modify their systems, APIs, pricing, policies, or functionality at any time without notice.
Users are solely responsible for reviewing and complying with the terms, policies, and legal requirements applicable to any third-party services or integrations they choose to access or connect through the Service.
8. Intellectual Property
The Service, including the Ship Fairy platform, website, software, technology, branding, logos, designs, text, graphics, interfaces, workflows, features, content, and other materials made available through the Service, are owned by or licensed to Ship Fairy and are protected by intellectual property, copyright, trademark, trade secret, and other applicable laws.
Subject to these Terms, Ship Fairy grants users a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended business and personal shipping purposes in accordance with these Terms.
Except as expressly permitted by Ship Fairy in writing, users may not copy, reproduce, modify, distribute, republish, sell, sublicense, reverse engineer, scrape, exploit, create derivative works from, or otherwise use any portion of the Service, platform, software, or content for unauthorized commercial or competitive purposes.
Users retain ownership of information, shipment data, content, or materials they submit to the Service. However, users grant Ship Fairy a limited right to use, process, store, transmit, display, and otherwise handle such information as reasonably necessary to operate, provide, secure, improve, and support the Service.
All trademarks, service marks, trade names, logos, and branding associated with Ship Fairy are the property of Ship Fairy Express, LLC or its licensors. Nothing in these Terms grants users any ownership rights or license to use Ship Fairy branding except as expressly authorized in writing.
9. Platform Availability & Service Changes
Ship Fairy works to maintain reliable access to the Service, but does not guarantee that the platform, website, integrations, carrier connections, APIs, tools, features, or related services will always be available, uninterrupted, secure, accurate, or error-free.
The availability and performance of the Service may be affected by maintenance, system updates, carrier outages, third-party service interruptions, internet connectivity issues, technical failures, security incidents, high traffic volumes, operational changes, or circumstances outside of Ship Fairy’s control.
Ship Fairy reserves the right to modify, suspend, restrict, discontinue, remove, or update any part of the Service, including features, pricing, integrations, carrier relationships, shipping discounts, functionality, or platform access, at any time and without liability.
From time to time, Ship Fairy may perform scheduled or emergency maintenance that could temporarily affect platform availability or functionality. Ship Fairy is not responsible for losses, delays, damages, missed shipments, business interruptions, lost profits, or other impacts resulting from downtime, outages, carrier interruptions, technical issues, or changes to the Service.
Users are responsible for maintaining their own internet access, compatible devices, operational backups, shipment records, and business continuity practices when using the Service.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
SHIP FAIRY DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, OR QUIET ENJOYMENT.
SHIP FAIRY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, TIMELY, OR FREE OF HARMFUL COMPONENTS, OR THAT SHIPMENTS, LABELS, TRACKING INFORMATION, DELIVERY ESTIMATES, CARRIER SERVICES, OR PLATFORM FUNCTIONALITY WILL ALWAYS BE AVAILABLE, COMPLETE, OR RELIABLE.
SHIP FAIRY IS NOT A SHIPPING CARRIER AND DOES NOT CONTROL THE ACTIONS, PERFORMANCE, DELIVERY OPERATIONS, TRANSPORTATION SERVICES, CUSTOMS PROCESSING, OR CONDUCT OF THIRD-PARTY CARRIERS, LOGISTICS PROVIDERS, PAYMENT PROCESSORS, OR OTHER THIRD-PARTY SERVICES USED IN CONNECTION WITH THE SERVICE.
USERS ASSUME ALL RISK ASSOCIATED WITH USE OF THE SERVICE, SHIPMENT PROCESSING, CARRIER SERVICES, THIRD-PARTY INTEGRATIONS, INTERNET- BASED SERVICES, AND THE TRANSMISSION OF INFORMATION THROUGH THE PLATFORM.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHIP FAIRY, ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, DATA, GOODWILL, SHIPMENTS, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
SHIP FAIRY SHALL NOT BE RESPONSIBLE FOR ANY LOSSES, DAMAGES, CLAIMS, DELAYS, DELIVERY FAILURES, MISDELIVERIES, PACKAGE DAMAGE, LOST SHIPMENTS, CUSTOMS ISSUES, CARRIER ERRORS, TRACKING INACCURACIES, PAYMENT ISSUES, FRAUDULENT ACTIVITY, BUSINESS INTERRUPTIONS, OR OTHER HARM CAUSED BY THIRD-PARTY CARRIERS, LOGISTICS PROVIDERS, PAYMENT PROCESSORS, INFRASTRUCTURE PROVIDERS, OR THIRD-PARTY SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIP FAIRY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT PAID BY YOU TO SHIP FAIRY DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (USD $100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY OR EXCLUSIONS OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.
12. Indemnification
You agree to defend, indemnify, and hold harmless Ship Fairy, its affiliates, owners, officers, employees, contractors, licensors, service providers, carrier partners, and representatives from and against any claims, demands, disputes, liabilities, damages, judgments, losses, fines, penalties, investigations, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- your use of or access to the Service;
- your shipments, products, packages, or shipping activity;
- your violation of these Terms or applicable laws;
- inaccurate shipment information or customs declarations;
- prohibited, restricted, dangerous, fraudulent, or unlawful shipments;
- disputes between you and customers, recipients, carriers, or third parties;
- your misuse of the Service, carrier systems, integrations, discounts, or payment systems;
- content, data, materials, or information submitted through your account; or
- your infringement or violation of any rights of another person or entity.
Ship Fairy reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with Ship Fairy in the defense of such matters.
13. Termination & Suspension
Ship Fairy reserves the right to suspend, restrict, limit, investigate, or terminate access to the Service, accounts, shipments, labels, transactions, integrations, or platform functionality at any time, with or without notice, where we believe such action is reasonably necessary to protect the Service, users, carriers, payment providers, third parties, or Ship Fairy itself.
This may include situations involving suspected fraud, payment disputes, suspicious transactions, carrier policy violations, prohibited shipments, abuse of the Service, unauthorized activity, security concerns, excessive operational risk, violations of these Terms, or conduct that may expose Ship Fairy or others to legal, financial, operational, or reputational harm.
Users may stop using the Service or request account closure at any time. However, termination or closure of an account does not relieve users of obligations incurred prior to termination, including payment obligations, carrier adjustments, disputes, fees, taxes, chargebacks, liabilities, or compliance-related responsibilities.
Ship Fairy may retain certain information following account termination where reasonably necessary to comply with legal obligations, resolve disputes, prevent fraud, enforce agreements, maintain security, comply with carrier or financial requirements, or support legitimate business operations.
Any provisions of these Terms that by their nature should survive termination will survive, including provisions relating to payments, liability limitations, indemnification, disputes, intellectual property, compliance obligations, and applicable legal rights or remedies.
14. Governing Law
These Terms and any disputes, claims, or controversies arising out of or relating to the Service, Ship Fairy, or these Terms shall be governed by and construed in accordance with the laws of the State of Washington and applicable United States laws, without regard to conflict of law principles.
To the extent permitted by applicable law, users agree that any legal action or proceeding arising out of or relating to the Service or these Terms shall be brought exclusively in the state or federal courts located in Washington, and users consent to the personal jurisdiction and venue of such courts.
Users agree that any claim or cause of action arising out of or relating to the Service or these Terms must be brought within one (1) year after the claim arises, or such claim or cause of action will be permanently barred to the extent permitted by law.
Nothing in these Terms limits Ship Fairy’s ability to seek injunctive relief, equitable remedies, or other legal protections in any jurisdiction where necessary to protect the Service, intellectual property, confidential information, operational interests, or legal rights of Ship Fairy.
15. Changes to These Terms
Ship Fairy may update, revise, modify, or replace these Terms from time to time in order to reflect changes to the Service, carrier requirements, operational practices, pricing structures, integrations, applicable laws, security practices, business operations, or other developments affecting the platform.
When material changes are made, Ship Fairy may provide notice through the Service, by email, through account notifications, or by other reasonable means where appropriate or required by applicable law. The “Last Updated” date at the top of these Terms will indicate when the most recent changes became effective.
Users are encouraged to review these Terms periodically to remain informed about the rules, requirements, and conditions governing use of the Service.
Continued access to or use of the Service after updated Terms become effective may constitute acceptance of the revised Terms to the extent permitted by applicable law. If you do not agree to the updated Terms, you must discontinue use of the Service.
